Terms of Trade
Our Commercial Terms & Conditions
RISING GmbH is committed to conducting business with integrity, transparency, and professionalism. Our Terms of Trade are designed to provide a clear framework for commercial transactions while protecting the interests of both our customers and our company.
By placing an order with RISING GmbH, the buyer acknowledges and agrees to the terms outlined below unless otherwise agreed in writing by both parties.
Commercial Agreements
All commercial agreements between RISING GmbH and the buyer must be confirmed in writing.
Official business correspondence, including quotations, purchase orders, proforma invoices, commercial invoices, contracts, amendments, and confirmations, shall be exchanged electronically via email unless otherwise agreed by both parties.
No verbal discussions, telephone conversations, or informal communications shall constitute a binding commercial agreement unless subsequently confirmed in writing by authorized representatives of both parties.
Order Confirmation
An order shall be considered officially accepted only after:
The buyer has submitted a Purchase Order or accepted the Proforma Invoice.
Both parties have agreed on the product specifications, quantity, price, delivery terms, and payment conditions.
RISING GmbH has issued a formal order confirmation or signed sales agreement.
Once confirmed, production planning, sourcing, and shipment preparation will commence in accordance with the agreed schedule.
Payment Terms
RISING GmbH offers flexible payment solutions depending on the transaction value, customer relationship, and commercial agreement.
Our standard methods of payment include:
Telegraphic Transfer (T/T)
Standby Letter of Credit (SBLC), subject to qualifying order values
Alternative payment methods may be considered only upon mutual written agreement.
Telegraphic Transfer (T/T)
For most commercial transactions, RISING GmbH conducts business using Telegraphic Transfer (T/T).
Our standard payment schedule is as follows:
40% Advance Payment
A deposit of 40% of the total invoice value is payable upon acceptance of the Proforma Invoice or Commercial Invoice.
Receipt of this payment authorizes RISING GmbH to begin sourcing, procurement, production planning (where applicable), quality control, and shipment preparation.
30% Payment Upon Shipment Confirmation
A further 30% payment is due after shipment booking has been confirmed and draft shipping documents have been prepared.
Depending on the shipment, these documents may include:
Draft Bill of Lading (B/L)
Packing List
Commercial Invoice
Booking Confirmation
Other relevant export documentation
Final 30% Balance
The remaining 30% balance is payable after the shipment has arrived at the agreed destination port or delivery location, in accordance with the commercial agreement between both parties.
The exact timing for the final payment shall be specified in the signed sales contract or Proforma Invoice.
Standby Letter of Credit (SBLC)
For large commercial transactions, RISING GmbH accepts payment by Standby Letter of Credit (SBLC).
SBLC transactions are considered for orders with a total contract value of EUR 2,000,000 (Two Million Euros) or USD 2,000,000 (Two Million US Dollars) and above.
Where an SBLC arrangement is approved, both parties will follow internationally recognized banking procedures.
The buyer’s bank will issue the SBLC through the SWIFT banking network in accordance with the agreed contractual terms before shipment activities commence.
Shipment preparation and dispatch will begin only after the SBLC has been received, authenticated, and accepted by RISING GmbH’s banking institution.
Banking Procedures
All payments must be made only to the official company bank account specified on the Proforma Invoice or Commercial Invoice issued by RISING GmbH.
Customers are advised never to make payments to personal bank accounts or to accounts that have not been officially confirmed by our finance department.
For security reasons, any request to change banking details must be verified directly with RISING GmbH through official communication channels before payment is made.
Currency
Unless otherwise agreed, all quotations and invoices are issued in:
Euro (EUR)
United States Dollar (USD)
Other currencies may be accepted by prior written agreement.
Shipping Terms
International shipments are conducted according to the Incoterms® rules agreed between both parties.
Depending on the contract, shipments may be arranged under terms such as:
EXW (Ex Works)
FOB (Free on Board)
CFR (Cost and Freight)
CIF (Cost, Insurance & Freight)
DAP (Delivered at Place)
The applicable Incoterm will be clearly stated on the Proforma Invoice and Commercial Invoice.
Documentation
Upon shipment, RISING GmbH will provide the necessary commercial documentation, which may include:
Commercial Invoice
Packing List
Bill of Lading (B/L)
Air Waybill (AWB)
CMR Consignment Note
Certificate of Origin (where applicable)
Inspection Certificate (if applicable)
Other export documentation as required
Electronic copies are normally sent to the buyer immediately after shipment, while original documents are dispatched by express courier when required.
Force Majeure
RISING GmbH shall not be held liable for delays or failure to perform contractual obligations resulting from circumstances beyond its reasonable control, including but not limited to:
Natural disasters
Government restrictions
War or civil unrest
Port congestion
Transportation disruptions
Customs delays
Epidemics or pandemics
Labor strikes
Other force majeure events
In such cases, both parties will cooperate in good faith to determine an appropriate solution.
